Terms of Service
These terms govern access to Nodectra Development Studio, connected engineering services and preview software made available through the platform.
1. Service operator and agreement
Nodectra is the service name used by the operator identified in your order, subscription or commercial agreement. These terms, that commercial documentation and any expressly accepted product terms form the agreement for your use of the service. Contact questions may be sent to support@nodectra.com.
2. Professional-use preview
Nodectra is currently an engineering and commissioning preview intended for professional evaluation. It provides project modeling, simulation, protocol configuration, visualization, history, alarms, revision control and controlled deployment workflows. Preview features may change and must be validated for the intended site before operational use.
3. Accounts and organizations
You must provide accurate account information, protect your credentials and use only accounts and organizations you are authorized to access. Organization owners control membership and roles. You are responsible for activity performed through your account unless you promptly report suspected unauthorized access.
4. Engineering and site safety
Nodectra does not replace engineering judgment, commissioning, code compliance, risk assessment or hardware safety systems. Before a project controls physical equipment, a qualified person must review the configuration, verify wiring and addressing, test failure modes and confirm the installation against applicable requirements. Safety-critical protection must not depend solely on preview software or a general-purpose agent.
5. Agent-assisted work
Agents may analyze project context and prepare proposed changes. Their output can be incomplete or incorrect. You must inspect and approve a proposal before it is applied or deployed. You remain responsible for deciding whether generated logic, bindings, documentation or configuration is appropriate for the project.
6. Acceptable use
You may not use the service to access systems without authorization, bypass security controls, introduce malicious code, interfere with other users, test infrastructure without permission, infringe third-party rights or operate the service in violation of law. You may not expose Runtime or connector credentials in project data, public repositories or shared materials.
7. Your content
You retain rights to project content you submit. You grant the operator the limited permission necessary to host, process, back up and transmit that content to provide and secure the service. You confirm that you have the rights and authority required to use the submitted content and connect the relevant infrastructure.
8. Trials, subscriptions and payment
A trial may be limited by time, seats, sites or features. Paid access, renewal, cancellation, taxes and plan limits follow the checkout and commercial terms shown when you subscribe. Payment processing is hosted by Stripe. Failure or expiry of cloud entitlement may restrict cloud engineering access, but it is not intended to silently replace the project already installed in an independent Site Runtime.
9. Availability and changes
We aim to operate the cloud service reliably but do not promise uninterrupted availability. Maintenance, security incidents, third-party failures and preview changes may affect access. We may modify, suspend or discontinue preview functionality and will use reasonable efforts to communicate material changes.
10. Suspension and termination
We may suspend access where reasonably necessary to protect users, infrastructure or third parties, respond to non-payment or address a material breach. You may stop using the service at any time, subject to subscription and retention obligations. Export project data you need before account closure or expiry.
11. Warranty and liability boundary
To the extent permitted by applicable law, preview software is provided without a promise that every feature is error-free or suitable for a particular installation. Nothing in these terms excludes liability that cannot legally be excluded. Any additional warranty, service level, support commitment or liability allocation must be stated in the applicable commercial agreement.
12. Governing terms and updates
The governing law, competent courts and complete legal identity of the operator are specified in the applicable commercial agreement. We may update these terms to reflect service or legal changes. The date at the top identifies the current version; continued use after notice of a material update constitutes acceptance where permitted by law.
